b. Client Deliverables and Ownership
Unless otherwise specified in a written agreement:
- Clients retain ownership of their data, configurations, code, and the work product created for them as part of an engagement.
- Clients receive the documentation and administrator access described in their written scope, consistent with our “Glass Box” methodology.
- Ironwood Logic does not claim ownership of client systems or proprietary business processes.
Specific ownership, licensing, and usage rights are governed by the applicable engagement agreement.
5. Consulting Services
All consulting services provided by Ironwood Logic are governed by a separate written agreement, such as an accepted proposal and written scope, a Statement of Work (SOW), a Master Services Agreement (MSA), or an equivalent contract. Care plan terms, including notice periods, are set out in that agreement.
Nothing on this Site creates a consulting relationship unless and until such an agreement is executed.
6. Client Accounts and Hosted Environments
Wherever possible, we build inside software and cloud accounts the client owns, including accounts with enterprise AI providers. In some engagements, Ironwood Logic may host or manage an environment on a client’s behalf, and anything we host can be moved to the client’s own account on request.
- Hosting terms, responsibilities, and service levels are defined contractually.
- Third-party platforms used in an engagement, including cloud and AI providers, are subject to their own terms, which the client accepts as the account owner.
- Ironwood Logic does not assume responsibility for third-party platform outages or failures beyond its reasonable control.
- Clients remain responsible for compliance with applicable laws and regulations related to their data.
